Article 1. General
These General Terms and Conditions apply to the sale of products, vouchers and services by Ride-Out B.V. (hereinafter “Ride Out”, “we” or “us”), located at Stadionplein 22, 1076 CM Amsterdam, or via the Ride Out webshop.

Customers are consumers, businesses and legal entities who use the products and services themselves and do not resell them for commercial purposes.

These General Terms and Conditions apply exclusively. Any deviating, conflicting or additional terms and conditions of the customer shall not apply, even if we do not explicitly object to their validity in individual cases. This also applies if, with knowledge of the customer’s terms, we perform delivery or services without reservation.

Ride Out sells products directly to end customers. We reserve the right to unilaterally cancel an order if we have reasonable grounds to believe it has been placed for resale or otherwise in bad faith.

Article 2. Offer and Acceptance
If an offer has a limited validity period or is subject to conditions, this will be explicitly stated.

The agreement is concluded when the customer accepts the offer and complies with the conditions set.

If the customer accepts the offer electronically, Ride Out will confirm receipt electronically without delay. Until confirmation is received, the customer may dissolve the agreement.

Ride Out reserves the right to require a deposit of 25% of the total purchase price for the sale of (road) bikes. For custom-built or personalized bikes, a higher deposit of up to 50% may be required.

Until the agreed deposit has been paid, the order is not accepted and Ride Out is not obliged to process or reserve the bike.

Article 3. Prices and Payment
The listed purchase price per product excludes shipping and handling costs. If delivery abroad results in customs duties or clearance costs, these are the responsibility of the customer.

Customers can pay using various methods depending on the country, order value and product. Relevant details are stated in the webshop. Payment provider terms also apply.

The customer has no right of set-off unless the counterclaim is undisputed, acknowledged or legally established.

A right of retention may only be exercised if based on the same contractual relationship.

Despite careful checks, prices may contain obvious errors. Ride Out is not bound by agreements based on clearly incorrect pricing.

Article 4. Delivery
Delivery is subject to availability. If a product is unavailable, Ride Out will inform the customer and refund any payment without delay.

In case of force majeure (external events beyond reasonable control such as natural disasters, unrest, pandemics), delivery times will be extended accordingly. This includes strikes, supply issues, government actions and similar disruptions. Ride Out will inform the customer promptly.

If a collection date is agreed and the customer fails to collect the product, Ride Out may withdraw from the agreement after granting a one-week grace period. The same applies if payment is not completed.

Article 5. Webshop and Right of Withdrawal
For webshop purchases, the customer may withdraw from the agreement within 14 calendar days after receiving the product, without giving reasons.

Online orders for stock models require full prepayment via available methods (e.g. iDEAL, credit card).

The right of withdrawal does not apply to custom or personalized products, services already performed with customer consent, and products that cannot be returned for hygiene reasons.

Article 6. Exchanges and Returns (In-store purchases)
Products purchased in-store may be exchanged or returned within 30 days from the invoice date.

Article 7. Exclusions for Exchanges and Returns
Certain products cannot be exchanged or returned, including custom-made items, adjusted bikes, and hygiene-related products.

Article 8. Cancellation and No-show
If the customer cancels after the order is in process, a fixed compensation of 25% may be charged.

Service appointments must be cancelled at least 24 hours in advance.

Article 9. Pre-order
Pre-orders concern products with a future release date. A binding agreement is only concluded after full payment.

Article 10. Retention of Title
Ownership remains with Ride Out until full payment has been received.

Article 11. Warranty and Complaints
Manufacturer warranties apply. Defects must be reported within 5 working days.

Article 12. Liability
Ride Out is not liable for improper use, unauthorized modifications, or indirect damages.

Article 13. Applicable Law and Disputes
These terms are governed by Dutch law. Disputes will be handled by the competent court in Amsterdam.
